Welcome to SiteSmith. By visiting our website or registering for a monthly retainer subscription plan (Basic Frontend, Interactive Frontend, or Full Stack Web/App), you agree to comply with and be bound by the following Terms of Service. If you do not accept these terms, you are prohibited from using our services.

1. Description of Services

SiteSmith is a digital services agency offering software engineering, UI design, mobile app development, and frontend website construction. These services are provided on a recurring subscription basis. Deliverables are defined by the active tier chosen during checkout.

2. Subscriptions, Payments & Cancellation

Billing Cycle: Service fees are charged automatically in advance on a recurring monthly cycle, commencing on the date you purchase your selected subscription package.
Cancellation: You can cancel your subscription plan at any time. Upon cancellation, developer services will remain active until the end of your current billing cycle. We do not offer partial refunds or prorated credits.
Failed Payments: If a renewal transaction fails, we reserve the right to immediately pause all active coding, hosting support, and repository updates until billing details are updated.

3. Project Cooperation & Deadlines

Our capacity to deliver code is strictly dependent on client responsiveness. You agree to provide necessary assets (copywriting, design files, branding guidelines) and prompt feedback on completed pull requests. We are not liable for delayed launches resulting from client feedback bottlenecks.

4. Intellectual Property and Code Ownership

Ownership of the deliverables is structured as follows:

Ownership Transfer: Upon receipt of full payment for the applicable billing period, SiteSmith transfers complete intellectual property ownership, source code rights, and design assets developed during that period to the client.
Open-Source Packages: Deliverables may rely on third-party libraries, frameworks (e.g., Tailwind CSS, React), or open-source packages. These elements remain subject to their original licenses (MIT, Apache, etc.).
Portfolio Rights: Unless explicitly restricted by a signed Non-Disclosure Agreement (NDA), you grant SiteSmith a limited, non-exclusive license to showcase screenshot mockups and general summaries of the finished work in our digital portfolio.

5. Limitation of Liability

SiteSmith acts as an engineering contractor. We provide our services on an "as is" and "as available" basis. To the maximum extent permitted by law, SiteSmith will not be liable for any indirect, incidental, special, or consequential damages (including loss of profits, system downtime, security breaches on hosting platforms, or project delays) arising from client operations.

6. Governing Law

These Terms of Service and any contractual disputes arising between you and SiteSmith shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

7. Modifications to Terms

We reserve the right to modify these Terms of Service. If we make material adjustments, we will notify active subscribers via the registered email or publish a warning notice directly on our website. Continued subscription after updates take effect represents full consent.
